Terms and Conditions

Within these Terms and Conditions Stuart Wells or Stuart Wells Photography shall be referred to as SWP. Visitor(s) to this website (www.stuartwellsphotography.co.uk) or individuals representing an organization or not, who under goes by contract the purchase of any rights to image(s) will be referred to as the Client.

The term image or images include digital image files, prints and all other means of reproduction. The term reproduction includes all forms of publication, copying or replication of all or part of any image(s) whether manipulated in any way or not.

Any variation of these Terms and Conditions will not be effective unless agreed in writing by both parties.
These Terms and Conditions shall prevail in the event of any conflict between SWP and the Client, and over rule those issued or submitted by the Client in the absence of any contrary agreement in writing.
Images are supplied on loan, no copyright in any image(s) passes to or become the property of the Client either on submission of the image(s) or after the grant of reproduction rights for any image(s).
The invoice to the client shall lists all the image(s) delivered to the Client using the SWP image number as a unique reference.
The Client must notify SWP in writing of any discrepancy or error within 14 days of receipt of image(s) or digital file(s). Otherwise image(s) are presumed to have been received in good condition.
Digital files can not be returned or refunded.
Retuning images must be confirmed in writing first before any goods are sent back, failure to do this will void any return policy.
Return of Images must be in unopened packaging and deemed to be of re-salable quality by SWP, any goods returned damaged or in opened packaging will only receive a 50% refund.
Reproduction permission of any or part of any image(s) is granted to the Client by SWP only and only when a fee for the reproduction or all or part of the image(s) have been agreed with SWP and invoice(s) has been issued by SWP and paid in full by the Client to SWP.
Invoice(s) not paid in full within 30 days of issue, may incur interest charges on the overdue payment at 2.5% per month or part month. Web purchases are immediate payment
Permission to reproduce any image(s) applies only to the reproduction described in the invoice or terms of use license.
Unauthorised reproduction of an image(s) or part of an image(s) by the Client shall pay by way of liquidated damages to SWP an Unauthorized Usage Fee of £2000.
The rights to reproduce any image(s) to the Client is personal to the client and the client only, rights or permission may not be assigned or transferred to any third party without SWP’s prior written consent.
Any digital, computer or mechanical manipulation which includes cropping of any image(s) are not permitted without written consent and issued by SWP.
SWP has taken reasonable care to correctly caption, orientate and identify the image(s), SWP does not accept any liability for loss or damage incurred by the Client or any third party caused by any errors.
SWP does not permit “self-billing” by the Client. A license to reproduce images(s) is granted only when the agreed invoiced fee has been paid in full
SWP makes no claim or warranty to the existence or validity of connected therewith model or other releases in respect of the image(s) or as regards the reproduction by the Client of any names or Trade Marks depicted in the image(s) unless specified in writing.
The Client must satisfy him/her self that all necessary rights, releases or consents required for reproduction have been obtained
The Client fully indemnifies SWP against any unauthorised reproduction of any image(s) submitted to the Client, or made by any third party as a result of or arising out of any breach by the Client of any of these Terms and Conditions. This includes by no way of limitation the Client allowing any image(s) or a copy thereof to come into the possession of a third party without prior written consent by SWP.
We can not guarantee delivery before the Christmas break on any orders placed after 7th December due to heavy demand on postal services.
